1. Services

9To5Dev provides web development, mobile application development, SEO optimization, AI integration, and related digital services ("Services"). The scope, deliverables, timeline, and pricing for each project are defined in a separate Statement of Work or project proposal agreed upon by both parties prior to commencing work.

2. Acceptance of Terms

By using our website, contacting us, or entering into a service agreement with 9To5Dev, you confirm that you are at least 18 years of age, have the authority to enter into a legally binding agreement, and accept these Terms & Conditions in full.

3. Payment Terms

• Projects typically require a deposit (50%) before work commences, with the balance due upon delivery unless otherwise agreed.
• Monthly retainer services are billed in advance at the start of each billing cycle.
• Invoices not paid within 14 days of the due date may incur a late fee of 1.5% per month.
• 9To5Dev reserves the right to pause or suspend work on any project with outstanding unpaid invoices.

4. Intellectual Property

Upon receipt of full payment, the client receives full ownership of the final deliverables (custom code, design assets) created specifically for their project. 9To5Dev retains the right to use the project in its portfolio. Third-party assets, frameworks, plugins, or open-source libraries remain subject to their respective licenses.

5. Confidentiality

Both parties agree to keep confidential any proprietary information, trade secrets, or sensitive business data exchanged during the course of the engagement. This obligation survives the termination of any agreement.

6. Client Responsibilities

The client agrees to:

• Provide timely feedback, content, and access to necessary accounts and systems.
• Ensure all materials provided (logos, images, text) are owned or licensed for use.
• Not use 9To5Dev services for any unlawful, harmful, or unethical purpose.

7. Revisions & Change Requests

Each project proposal includes a defined number of revision rounds. Revisions beyond the agreed scope may be billed at 9To5Dev's standard hourly rate. Significant scope changes will require a revised proposal and agreement before proceeding.

8. Cancellation & Refunds

Either party may terminate a project engagement with 14 days written notice. Deposits are non-refundable. If the client cancels after work has commenced, payment is owed for all work completed to date. If 9To5Dev cancels without cause, a prorated refund of any prepaid amounts will be issued.

9. Limitation of Liability

To the maximum extent permitted by law, 9To5Dev shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services or any third-party integrations. Our total liability shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

10. Third-Party Services & AI Tools

Our services may involve third-party platforms, APIs, or AI tools (including but not limited to Anthropic Claude, OpenAI, Google Cloud, AWS). 9To5Dev is not responsible for outages, policy changes, or limitations imposed by these third-party providers. Clients are responsible for complying with the terms of any third-party services used within their project.

11. Website Use

You agree not to use this website to transmit any harmful, offensive, or unauthorized content. 9To5Dev reserves the right to refuse service to anyone for any reason at any time. We may update or modify this website without notice.

12. Privacy

Your use of this website and our services is also governed by our Privacy Policy. By using our services, you consent to the collection and use of information as described therein. We do not sell your personal information to third parties.

13. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in San Francisco, CA.

14. Changes to These Terms

9To5Dev reserves the right to update these Terms & Conditions at any time. We will update the "Last updated" date at the top of this page. Continued use of our services following any changes constitutes acceptance of the new terms.
